terms of use

terms of use

1. Scope, Acceptance and Changes to These Terms

1.1 Operator and scope: These Terms and Conditions of Use (“Terms of Use” or “Terms”) apply to the CERNE website at https://unityone.ai/cerne/ and associated websites that expressly link to these Terms (collectively, the “Site”). The Site is operated by UnityOne, LLC, formed in Nevada (“CERNE”, “we”, “us” or “our”). Its address and legal contact details appear in Section 23. References to CERNE do not make every affiliate a contracting party.
1.2 Site features and separate Services: These Terms also apply to community features, demonstrations, trials, APIs and other functions only where expressly offered under these Terms (“Site Features”). Paid subscriptions, production cloud-management services, software and support (“Services”) are governed by the applicable separately executed or electronically accepted service agreement, order form and incorporated schedules (the “Service Agreement”). These Terms do not themselves authorize access to a production environment or create a paid subscription.
1.3 Acceptance and authority: By selecting an acceptance control, registering for a Site Feature after these Terms are presented, or otherwise using the Site after receiving legally sufficient notice of these Terms, you agree to them. You must be at least 18 years old and have legal capacity to contract. If you act for an organization, you represent that you are authorized to bind it, and “you” includes that organization. If you do not agree or lack authority, do not use the applicable Site or Site Feature.
1.4 Order of precedence: A Service Agreement controls over these Terms for the Services it covers, including fees, service levels, support, security, confidentiality, data processing, intellectual property, suspension, termination and liability. Its own order-of-precedence provisions apply. Otherwise, an applicable data processing agreement (“DPA”) controls for personal-data processing, and expressly accepted feature-specific terms control for that feature. Nothing in these Terms amends a separate agreement or reduces non-waivable statutory rights.
1.5 Changes to Terms: We may update these Terms and will change the revision date. For material changes, we will provide at least 30 days’ advance notice through a prominent Site notice and, for registered users, the account email or an in-product notice. A shorter period may apply where reasonably necessary to comply with law or address an urgent security risk, with notice as soon as reasonably practicable. Changes apply prospectively and will not alter an existing dispute or a Service Agreement. Continued use after the effective date constitutes acceptance only where legally sufficient; otherwise, we will obtain renewed acceptance. Changes to personal-data uses require any additional notice, lawful basis or consent required by law.

2. Content and Intellectual Property

2.1 CERNE materials: The Site’s text, documents, graphics, designs, product information, technologies, software, code, white papers, data sheets, knowledge-base materials and other technical or marketing materials (“Information”) are protected by intellectual property rights owned by CERNE or its licensors. Information excludes Public Content and Customer Data as defined below. Except for express permissions in these Terms or an applicable license, all rights are reserved.
2.2 Permitted use: Subject to compliance with these Terms, CERNE grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access the Site and view, download and print Information expressly made available for download solely for your internal informational and evaluation purposes. Revocation is subject to Section 13. This permission does not allow resale, commercial redistribution or public republication. Retain copyright, trademark and other proprietary notices on permitted copies.
2.3 Restrictions and exceptions: Except as expressly authorized by CERNE, an applicable license or non-waivable law, you must not republish, distribute, broadcast, sell, modify or create derivative works from Information, or use data mining, robots, crawlers or other automated methods to extract it. These restrictions do not prohibit authorized APIs, expressly permitted indexing, ordinary browser functions or assistive accessibility technologies. Separate software and open-source licenses govern the materials covered by them and prevail for those materials.
2.4 Marks and links: CERNE names and logos are trademarks or service marks of their respective owners; no trademark license is granted except as expressly stated. Other company and product names belong to their respective owners. You must not imply CERNE’s endorsement or affiliation without permission. Lawful descriptive references and other uses permitted by applicable law are not prohibited. Third-party links are addressed in Section 9.

3. Forward-Looking Statements

This Site contains express or implied forward-looking statements, which are based on current expectations of management. These statements relate to, among other things, our expectations regarding management’s plans, objectives, and strategies. These statements are neither promises nor guarantees but are subject to a variety of risks and uncertainties, including scientific, business, economic and financial factors, many of which are beyond our control, and which could cause actual results to differ materially from those contemplated in these forward-looking statements. Except as required by applicable law, CERNE assumes no obligation to update any forward-looking statements appearing on this website in the event of changing circumstances or otherwise, and such statements are current only as of the date they are made. Do not base a purchase on an anticipated feature, roadmap or release date unless it is expressly committed to in your Service Agreement.

4. Updates to the Site and Information

CERNE may improve or change the Site at any time, subject to Sections 1 and 13 and any applicable Service Agreement. Information may occasionally be inaccurate, incomplete or out of date. Except as required by law or expressly agreed, CERNE does not undertake to update all Information or guarantee its completeness, accuracy or currency. Verify Information before relying on it. This section does not remove express contractual commitments, mandatory disclosure duties or legal responsibility for misleading statements.

5. Communications

Service and account notices may be sent electronically. Marketing communications and related preferences are handled under the Privacy Policy and applicable law; acceptance of these Terms is not blanket consent to marketing.

6. Account and Security

6.1 Account details: Provide your legal name, a valid email address and other information reasonably necessary to open and administer an account, and keep it accurate and current. You are responsible for your equipment, connectivity and related access charges. Each individual must use a separate login; approved service accounts may be used only as documented and authorized
6.2 Credentials and access: Protect passwords, API keys, access tokens, certificates and other credentials. Use available multi-factor authentication and appropriate least-privilege permissions, and promptly remove access for users who are no longer authorized. Do not disclose secrets in public posts or ordinary support messages. You are responsible for managing authorized users and activity attributable to your instructions, permissions or failure to take reasonable security precautions; this does not relieve CERNE of its own contractual or legal obligations.
6.3 Security incidents: Immediately notify CERNE through the designated support or security channel, or the legal contact in Section 23, of suspected credential compromise, unauthorized access or misuse. Revoke or rotate affected credentials where you control them, and reasonably cooperate in investigation and containment. CERNE’s incident-response and customer-notification obligations remain governed by applicable law and the Service Agreement or DPA.

7. Your Content: Public Submissions

7.1 Public Content: Where CERNE provides public forums or posting features, material you intentionally submit for public display is “Public Content”. You remain responsible for its origination, accuracy and lawfulness, obtaining applicable rights, licenses, permissions, releases and attribution, and paying associated royalties or fees. Public Content is non-confidential. Do not post credentials, Customer Data, personal information you lack authority to disclose, or another person’s confidential information.
7.2 Ownership and limited license: You retain ownership of Public Content. You grant CERNE a worldwide, royalty-free, non-exclusive license to host, reproduce, format, translate, display and distribute it only to operate and present the public feature for which you submitted it. CERNE may permit service providers to exercise these rights solely on its behalf. The license does not authorize unrelated advertising, endorsement or general-purpose AI training. You must separately authorize any such additional use.
7.3 Removal and moderation: You may remove Public Content using available controls or request removal. The license ends when it is removed from active public display, except for lawful retention, inaccessible backup copies pending routine deletion, and copies lawfully made by others. CERNE may refuse or remove unlawful content or content that violates these Terms and may review reports, but does not undertake general monitoring unless required by law. Statutory notice, explanation and complaint rights remain available.
7.4 Permitted expression: CERNE may apply reasonable published community rules, but these Terms do not prohibit honest reviews, lawful criticism, reporting to regulators, protected disclosures or other legally protected expression. They do not transfer ownership of a user’s review. Intellectual property and content complaints may be reported under Section 22.

8. Acceptable Use

You must comply with applicable law and any acceptable-use policy expressly incorporated into your Service Agreement. In particular, you must not:
  • Use the Site or Site Features for fraud, unlawful surveillance, infringement, impersonation, unlawful discrimination, threats, harassment, spam or deceptive reviews; or upload content that unlawfully invades privacy or is defamatory, obscene or otherwise unlawful.
  • Introduce malware or malicious code; conduct denial-of-service attacks, phishing or credential theft; or interfere with the availability, integrity or security of CERNE’s systems or those of others.
  • Access or connect systems without authority, circumvent access controls or usage limits, share individual accounts, conceal prohibited activity, or conduct security testing without prior authorization or an applicable published testing policy.
  • Reverse engineer, decompile or disassemble software except to the extent permitted by non-waivable law or an applicable license; scrape protected Information except as allowed by Section 2; or remove ownership, safety or legally required AI-origin notices.
  • Use CERNE resources for unauthorized cryptocurrency mining, resale or unrelated workloads, or exploit vulnerabilities, prompt injection or agent tools to obtain unauthorized data, privileges or actions.
  • Submit payment-card data, protected health information or other regulated sensitive data through a feature not expressly approved for that data and covered by the required safeguards and agreements.
These restrictions do not prohibit activities that applicable law affirmatively protects. Report suspected misuse or vulnerabilities through the contact routes in Section 23; do not access third-party data or disrupt systems to demonstrate a vulnerability.

9. Connected Environments, APIs and Third-Party Services

9.1 Authority to connect: Connect cloud accounts, infrastructure, repositories, devices or other environments only if you have authority from their owner and the required provider permissions. Grant access limited to the intended purpose. Where available, use scoped service credentials rather than personal administrator credentials. Production connections require the applicable Service Agreement; a demonstration alone is not authorization to operate production infrastructure.
9.2 APIs and integrations: Use APIs and integrations within documented permissions, authentication requirements and usage limits. Keep credentials secure and do not bypass technical safeguards. Changes to a paid API or integration remain subject to the Service Agreement. CERNE does not promise that every third-party integration or external API will remain available indefinitely.
9.3 External providers: Third-party websites, cloud platforms and services selected or connected by you are governed by their own applicable terms. CERNE does not endorse third-party websites merely by linking to them and does not control their independent content, availability or changes. You are responsible for charges under your own third-party accounts, including charges resulting from actions you authorize, subject to the Service Agreement and CERNE’s responsibility for its own breach or misconduct.
9.4 CERNE service providers: Third parties engaged by CERNE to deliver its own Services are distinct from services independently selected by you. This section does not exclude CERNE’s responsibility for its own providers or permit them to use Customer Data beyond the applicable Service Agreement, DPA, documented instructions and law.

10. AI and Automated / Agentic Features

10.1 AI interaction and outputs: Where a Site Feature is identified as AI-enabled, you may be interacting with an automated system rather than a person. Its recommendations, predictions, code and other results (“Outputs”) may be inaccurate, incomplete, biased or unsuitable for your environment. Outputs may be similar to those supplied to others. Review material Outputs before relying on them. CERNE and users must provide any AI-interaction disclosures and output-origin markings required for their respective roles by applicable law; users must not remove required markings.
10.2 Authorization for actions: An AI recommendation is not itself authorization to change infrastructure. By expressly enabling an automated action or workflow, you authorize CERNE to perform only the actions within the permissions, scope, limits and approval settings you configure or otherwise expressly approve. Required approvals must not be bypassed. An instruction embedded in external content is not, by itself, your authorization. You may revoke permissions or disable automation through available controls or the agreed support process.
10.3 Operational safeguards: Before enabling actions that may affect production, security, availability, data or spending, assess their impact, test where appropriate, maintain suitable backups and change controls, and set approval, permission and spending limits supported by the feature. Monitor execution and use available logs and stop controls. Stopping future execution may not reverse completed changes or external charges. This allocation does not excuse actions outside authorized scope or reduce CERNE’s duties under the Service Agreement.
10.4 Training and data use: These Terms do not grant CERNE or its providers permission to use Customer Data, private prompts or Outputs to train or fine-tune general-purpose or shared AI models. Such use requires separate, express authorization from an authorized customer representative and any lawful basis, notice or consent required for affected personal data. Processing needed to deliver the requested AI function remains subject to Section 11 and the applicable Service Agreement and DPA.
10.5 Rights in Outputs: Rights to Outputs from paid Services are governed by the Service Agreement. For a Site Feature governed only by these Terms, CERNE permits you to use Outputs for lawful internal evaluation, subject to third-party rights and applicable feature terms. No exclusivity, copyright eligibility or clearance of third-party rights is guaranteed.
10.6 Restricted reliance: Do not use a Site Feature as a substitute for qualified professional advice or as the sole basis for a legally significant decision about an individual. Safety-critical, regulated or other high-impact uses require an express Service Agreement authorizing that use and the legally required safeguards. Neither party may use an AI feature for a prohibited purpose under applicable law.

11. Customer Data and Confidentiality

11.1 Separate from public posts: “Customer Data” means non-public information submitted or made accessible by or for a customer through a private account, connected environment or support channel, including configurations, logs, credentials, private prompts and associated Outputs to the extent of the customer’s rights. Customer Data is not Public Content and does not become public or non-confidential merely because it is processed through the Site or Services.
11.2 Ownership and permitted processing: You and your licensors retain your rights in Customer Data. You grant CERNE only the rights necessary to host, process, transmit and otherwise handle it to provide and secure the requested functionality, deliver support, and comply with lawful obligations. CERNE may involve providers only for those purposes and under appropriate contractual restrictions. These Terms grant no right to sell Customer Data, publish it, or reuse it for unrelated advertising or shared-model training.
11.3 Confidential handling: CERNE will protect non-public Customer Data using reasonable safeguards appropriate to its sensitivity and restrict access to personnel and providers with a legitimate need and confidentiality obligations. Disclosure required by law is limited to what is required, with prior notice where legally permitted. Information independently developed, lawfully obtained without a duty of confidence, or public through no breach is not confidential, but personal-data obligations still apply. More specific confidentiality, security, incident-notification and processing duties in a Service Agreement or DPA control.
11.4 Retention and exit: Retention, retrieval, export and deletion of Customer Data are governed by the applicable Service Agreement, DPA and Privacy Policy. For a Site Feature without such agreed terms, CERNE will provide a reasonable opportunity to request retrieval before planned closure where lawful and practicable, and will retain data only for the stated purpose or a lawful retention requirement. Retained data remains protected. Do not use trials or public features as your sole backup or production data repository.

12. Feedback

You may voluntarily provide product suggestions or feedback. To the extent you have the necessary rights, you grant CERNE a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use that feedback to develop and improve its products and services without compensation. This does not transfer ownership of Customer Data, confidential information or reviews, and does not permit disclosure of confidential information or personal data. Do not submit another person’s protected information as feedback without authority.

13. Suspension and Termination

13.1 Grounds and process: CERNE may restrict, suspend or terminate Site or Site Feature access for a material breach of these Terms, unlawful use, fraud, a credible security threat, or compliance with law. Where reasonably practicable, CERNE will give notice, a reason and an opportunity to remedy a remediable breach before acting. Immediate action may be taken where needed to protect systems, users or legal compliance, followed by notice when safe and lawful. Measures will be proportionate to the issue.
13.2 Discontinuance and user closure: CERNE may discontinue a free Site Feature for legitimate business reasons with reasonable advance notice where practicable. You may stop using the Site or request account closure at any time. On termination, the affected access license ends; you must stop using the affected feature and revoke connected access where you control it. Data handling remains subject to Section 11, and applicable legal complaint rights are preserved.
13.3 Paid Services: Suspension, termination, cure periods, refunds and transition assistance for paid Services are governed exclusively by the applicable Service Agreement and mandatory law. Closing a website account does not by itself cancel a separate paid contract or eliminate accrued obligations.

14. Trials, Purchases and Charges

Any trial duration, usage limit, charge or evaluation restriction must be stated in the applicable offer. Do not use a trial or beta feature for production unless expressly authorized. No trial converts to a paid subscription unless the conversion terms, price, billing frequency and cancellation process are disclosed in advance and accepted as required by law. Fees, taxes, payment timing, renewals, cancellation and refunds for paid Services must be set out in the Service Agreement or clearly presented order terms; these Terms do not supply missing commercial terms or waive mandatory cancellation rights.

15. Disclaimer

Information on the Site is intended for informational purposes and may contain technical inaccuracies or typographical errors. Software, updates and Services supplied under a separate contract remain subject to that contract. No Site statement, demonstration, roadmap or AI Output creates a warranty beyond an express contractual commitment or mandatory law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, INFORMATION AND SITE FEATURES GOVERNED ONLY BY THESE TERMS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT EXPRESS, IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. CERNE DOES NOT WARRANT THAT THEY WILL BE UNINTERRUPTED, ERROR-FREE OR SUITABLE FOR EVERY INTENDED USE. THIS DISCLAIMER DOES NOT OVERRIDE A SERVICE AGREEMENT OR EXCLUDE NON-WAIVABLE RIGHTS.

16. Limitation of Liability

16.1 Excluded losses: Subject to Section 16.3 and to the maximum extent permitted by law, CERNE will not be liable for indirect, consequential, exemplary, incidental, special or punitive damages, or lost profits arising from the Site, Information or Site Features governed only by these Terms, even if advised of their possibility.
16.2 Aggregate cap: Subject to Section 16.3, CERNE’s total aggregate liability for all claims arising out of or relating to the Site, Information or Site Features governed only by these Terms, under any legal theory, will not exceed the greater of (a) the subscription or similar fees you paid through the Site for the affected Site Feature during the six months before your first claim, or (b) US$100. Fees for software, support or Services under a separate Service Agreement are excluded from this calculation. Claims governed by a Service Agreement are subject to that agreement’s liability provisions, not this cap.
16.3 Mandatory exceptions: Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence where such exclusion is unlawful, or any liability or remedy that applicable law does not permit to be excluded or limited, including applicable restrictions concerning gross negligence or willful misconduct. Non-waivable consumer, privacy and data-protection rights are preserved. Where a limitation is prohibited, it applies only to the extent legally permitted.

17. Indemnity

17.1 Third-party claims: If you use the Site in the course of business, you will, to the extent permitted by law, defend and indemnify CERNE and its officers, directors, employees and affiliates against third-party claims, resulting liabilities and reasonable legal costs to the extent caused by your unlawful use, material breach of these Terms, infringement through Public Content, or unauthorized access to another person’s systems. This obligation does not apply to the extent a claim results from CERNE’s breach, negligence or willful misconduct. Indemnities for separately contracted Services remain governed by the Service Agreement.
17.2 Defense procedure: CERNE will provide reasonably prompt notice of a claim, allow you to control its defense with competent counsel, and provide reasonable cooperation at your expense. Delayed notice excuses the obligation only to the extent it materially prejudices the defense. CERNE may participate with its own counsel at its own expense. You may not settle a claim by admitting CERNE’s fault, imposing a non-monetary obligation on CERNE, or failing to release CERNE fully without its prior written consent, not to be unreasonably withheld.

18. U.S. Government Restricted Rights

To the extent CERNE software or documentation qualifies as commercial computer software or commercial computer software documentation, acquisition by the U.S. Government is governed by the applicable commercial license, government contract and mandatory federal procurement law, including FAR 12.212 and DFARS 227.7202, as applicable. The Government receives the rights specified in the applicable license and contract to the extent consistent with federal law. These Terms do not impose an indemnity, payment, jurisdictional or other obligation that an authorized government customer may not lawfully accept.

19. Export Controls and Sanctions

Each party must comply with export-control, re-export, transfer and economic-sanctions laws applicable to its activities, including the U.S. Export Administration Regulations administered by the Bureau of Industry and Security and sanctions administered by the Office of Foreign Assets Control, where applicable. You must not use, access, export, re-export or transfer the Site’s software, technology or Services to a prohibited destination, restricted party or restricted end user, or for a prohibited end use, unless lawfully authorized and accepted by CERNE. This includes applicable restrictions relating to weapons proliferation, nuclear activities and military or intelligence end uses.
You represent, to the extent required for lawful provision of the relevant functionality, that you and the persons on whose behalf you act are not subject to restrictions that prohibit CERNE from providing it, including applicable ownership or control restrictions. Do not conceal location, identity, ownership or end use to evade controls. Obtain required approvals and provide reasonable compliance information when requested. CERNE may restrict access where reasonably necessary to comply with applicable law. No static list in these Terms replaces the restrictions in force at the time of the activity; users outside the United States must also comply with applicable local law.

20. Governing Law and Jurisdiction

20.1 Law and courts: Except where a Service Agreement provides otherwise, these Terms and disputes concerning the Site or Information are governed by the laws of the State of Nevada, United States, excluding its conflict-of-laws rules, and applicable controlling U.S. federal law. Subject to Section 20.2, the state courts located in Nevada and the federal courts for the District of Nevada, where they have subject-matter jurisdiction, have exclusive jurisdiction, and the parties consent to venue and personal jurisdiction there.
20.2 Preserved rights: Where mandatory law grants you protections under the laws of your residence, access to local courts or regulators, or another non-waivable remedy, those rights remain available. The parties may seek an informal resolution through the Section 23 contact, but doing so is not a condition that prevents urgent relief, regulatory reporting or filing within a legal deadline.

21. General Provisions

21.1 Entire agreement: For matters governed only by these Terms, these Terms and expressly applicable feature terms constitute the agreement on that subject and replace prior website terms on the same subject. They do not replace a Service Agreement, DPA, nondisclosure agreement or rights protected by law. Section 1.4 governs conflicts.
21.2 Severability and waiver: If a provision is unenforceable, it will be limited or severed to the minimum extent necessary, and the remainder will continue to apply. A delay or failure to enforce a provision is not a waiver. A waiver must be express and applies only to the stated instance.
21.3 Assignment: You may not assign these Terms without CERNE’s prior written consent, not to be unreasonably withheld. CERNE may assign them to an affiliate or successor in a merger, reorganization or sale of the relevant business if the assignee assumes CERNE’s obligations and your rights are not materially reduced. CERNE will provide notice where required. Separate agreements govern assignment of Services.
21.4 Relationship and survival: These Terms create no partnership, employment, fiduciary or general agency relationship. An expressly authorized automated action does not authorize unrelated acts. Provisions that by their nature must survive termination will survive, including accrued rights, ownership, confidentiality, applicable license-duration provisions, disclaimers, liability, indemnity and dispute terms. Survival does not extend a license beyond its stated duration.
21.5 Events outside reasonable control: Neither party is responsible for delay caused by an event beyond its reasonable control to the extent it could not reasonably prevent or mitigate the effects. The affected party will take reasonable steps to mitigate and resume performance. This does not excuse accrued payment obligations, non-waivable duties, or security and continuity measures expressly promised under a Service Agreement.
21.6 Electronic notices and interpretation: Notices may be sent to the account email, through the Site where appropriate, or to the contacts in Section 23, subject to legally required notice methods and a Service Agreement. Electronic acceptance may establish an agreement where permitted by law. Section headings are for convenience; “including” means “including without limitation”. Mandatory consumer protections are not displaced by these interpretation rules.

22. Copyright and Other Complaints

Report suspected intellectual-property infringement or unlawful content to the legal contact in Section 23, identifying the work or right involved, the specific material and its location, your contact details, your authority to act, and the basis of the complaint. For a copyright notice under 17 U.S.C. 512, also provide a physical or electronic signature, a good-faith statement that the use is not authorized by the owner, its agent or law, and a statement that the information is accurate and, under penalty of perjury, that you are authorized to act for the rights holder. Do not submit knowingly false claims.
CERNE will review sufficiently detailed reports and take action required by applicable law, including removal or restriction where appropriate. Where the statutory counter-notice procedure applies, CERNE will provide the relevant route and process valid counter-notices in accordance with law. CERNE may terminate repeat infringers in appropriate circumstances. Where CERNE publishes designated-agent details for copyright notices, send statutory notices and counter-notices through that designated route. General account, accessibility and Terms questions may also be sent to the legal contact.
